Rush Fees:
Rush fees are assessed on a case by case basis.
Decisions are left solely to 36SQ, and are based on the availability
of appropriate individuals to accomplish the tasks, the turnaround
time required to successfully meet the client’s deadline of the
project, and whether previously established priorities need to be
rescheduled to meet the deadline. If you are not certain if rush fees
apply, request a written estimate before your project commences.

Changes
The Client shall be responsible for making additional payments for changes
requested by the Client in original assignment. However, no additional payment
shall be made for changes required to conform to the original assignment
description. The Client shall offer the Designer the first opportunity to make any
changes.

Cancellation
In the event of cancellation of this assignment, ownership of all copyrights and
the original artwork shall be retained by Thirty Six Squares LLC, and a
cancellation fee for work completed, based on the estimate and expenses
already incurred, shall be paid by the Client.

Credit Lines
The Designer and any other creators shall receive a credit line with any editorial
usage highlighting a project or its elements. Credit lines shall be as follows:

Limitation of Liability
Client agrees that it shall not hold the Designer or his/her agents or employees
liable for any losses or damages that arise from any aspect of the Project.

Dispute Resolution
Any disputes in excess of $500.00 arising out of this Agreement shall be
submitted to binding arbitration before a mutually agreed-upon arbitrator
pursuant to the rules of the American Arbitration Association. The Arbitrator’s
award shall be final, and judgment may be entered in any court having
jurisdiction thereof. The Client shall pay all arbitration and court costs,
reasonable attorneyʼs fees, and legal interest on any award of judgment in favor
of the Designer.

Delay of Project Fees
A fee of $36 per day will be applied to any project whose client is
nonresponsive to emails, calls, proofs, or other communications for a period
longer than 10 days. If the project does not progress due to a lack of client
interaction for a period longer than 15 days, the project will be deemed
"stalled" and placed on hold. A $100 reactivation fee will apply
to resume the project. If a client communicates, in advance, the need to delay,
postpone, or reschedule a project, no fees will be assessed.

Time for Payment
All invoices for services are payable within 15 days of receipt. The grant of any
license or right of copyright is conditioned on receipt of full payment.

Expenses
The Client shall reimburse the Designer for all expenses arising from the
assignment, in addition to hourly fees.

10.

Overdue Balances
A 1.5% monthly (18% annually) late fee is payable on all overdue balances. A
$36 per month administrative fee is applied to overdue accounts. If you carry an
overdue balance, discounts are revoked until the account is current. Work will
be executed upon request, at the normal rates of $75 per hour and $100 per
hour for rush work.

11.

Release of Files
Files are not released, printed, published, or launched online while carrying an
Overdue Balance. Work will continue upon request, at normal rates, but no files
beyond the proofing process will be provided until the account is current.

12.

Default in Payment
The Client shall assume responsibility for all collection of legal fee
necessitated by default in payment.

13.

Graphic Design
Thirty Six Squares LLC transfers an unlimited, non-exclusive license to all
graphic design work. Reproduction by the Client may not compromise the
quality of the artwork. Thirty Six Squares LLC will make all reasonable effort to
provide files needed to maintain an accurate representation of the design’s
original quality.

14.

Web Development
Thirty Six Squares LLC transfers a limited, single domain, non-exclusive license
to web development technologies and intellectual property. Reproduction or
modification under an additional domain is prohibited. Maintenance or access
by a third party requires a non-disclosure agreement between Thirty Six
Squares LLC and an authorized representative of that third party organization.

15.

Third Party Intellectual Property
When the project requires elements which the client’s budget cannot afford to
make from scratch, we will engage the services of a stock agency or font
foundry on behalf of our client. The client is responsible for reimbursing
approved expenses for these elements, and is responsible for abiding by the
licensing terms accompanying those elements of intellectual property.

16.

Proof Approvals
Proof approval is final. If an error is detected during the production or
publishing of an item, halting and modifying the project files will incur additional
fees. Thirty Six Squares LLC is not liable for any additional costs or losses
incurred by execution of tasks using an approved file, even if that file is found to
later be erroneous in any way.

17.

Delivery of Produced Items
Any balance due on produced items is payable upon delivery, or the item will
not be delivered. If a failed delivery is not paid for and picked up at the 36SQ
studio within 24 hours of the attempt, the invoice will be deemed overdue and is
subject to related fees.

18.

Pick Up & Delivery Fees
Fees apply to the delivery of produced items, or the pickup of project assets,
hard copy proofs and other non-digitally transmitted project assets.
